Terms of Freelance Directory Use
Site Information
Freelance Directory is a subscription service and is part of the Freelance UK website (www.freelanceuk.com). Freelance UK is owned and managed by internet business Contractor UK Ltd. The terms and conditions for using Freelance UK can be found here. In using Freelance Directory you agree to these additional terms.
You/your/member means anyone who has access to your membership profile area as part of the subscription service.
Freelancers
Membership Subscription Services
The subscription service fee entitles a member to upload and to submit images and text information to their membership profile area, pertaining to their UK freelance business only, in order to sell their services, network with other members and access the member offers.
You are entirely responsible for maintaining the confidentiality of your log in details and password to access your membership profile, which should not be distributed or disclosed to third parties.
When compiling your portfolio profile you are solely responsible for information that you post on our website. Do not include text, images or links that are defamatory, libellous, lewd or in bad taste, ensuring that your profile is accurate, truthful and complies with English law; including but not limited to those governing consumer protection and false advertising. In uploading information to compile your membership profile you warrant that you own or otherwise control all of the rights to the content of your profile and agree not to infringe any third party's copyright, IP, patent, trademark, trade secret or other rights of publicity or privacy.
Contractor UK Ltd does not claim ownership of the membership profile information you upload to Freelance UK. However, by uploading and submitting such information you are granting Contractor UK Ltd permission to use such information in connection with the operation of their Internet businesses, including, without limitation, the license rights to: reproduce, distribute, transmit, publicly display, edit and reformat your profile and to publish your name in connection with your profile. You acknowledge and agree that we may amend any information you provide to us as part of your profile at our sole discretion.
Members should make every endeavour to ensure that they conduct their business affairs in a professional manner, trading legally, fairly and honestly with other Freelance Directory members and clients. Do not create a false identity for the purpose of misleading others.
We reserve the right to refuse membership or terminate your access to Freelance Directory at any time, without notice, for any reason whatsoever.
Freelance UK are not party to any contract actually entered into between yourself as service provider and companies using Freelance UK to source freelance workers, as buyer of your services.
Whilst we promote and encourage honesty and fair dealings amongst our members, Freelance UK cannot vouch for Freelance Directory members or be held liable for the accuracy, quality, legality of the services advertised, or business conduct of freelancers registered on its website. Use of Freelance Directory is at your sole risk. We encourage that you contact us to notify us in the event of any difficulties in dealing with other members however.
Always use caution when giving out any personally identifiable information about yourself or your family to any party.
Please treat all members of Freelance Directory with respect and courtesy. Do not spam, harass or pass any details of other members on to outside parties without their prior permission. We actively monitor messaging within Freelance Directory to prevent misuse of the system.
You will not use the network to circulate viruses, trojan horses, worms or any other computer malware.
You agree that we may be required to disclose your personal data to applicable legal and regulatory authorities.
By signing up to the directory you agree to receive our newsletters. You can remove your subscription to these newsletters at any time by using the links contained in the email.
Subscription Service Charges and Scope of Service
There is a ‘new membership’ minimum period costing £20+VAT payable for the first four months, thereafter a monthly renewal fee of £5+VAT will be collected each calendar month. Fees are payable by credit card on a recurring billing basis. Your listing will only remain live for the period in which these funds have been collected or until you cancel your subscription. You may cancel your subscription at any time using your profile area. Any fees paid are non-returnable. If you cancel your subscription or payment cannot be collected from your card then membership will revert back to new membership status, meaning you will be committed to four month’s minimum period membership at £20+VAT and able to renew on a monthly basis thereafter.
The fee allows each freelancer to list their services once only in up to four separate core skills categories (photography/journalism: graphic design etc) for the paid-up calendar month. Additional skills categories listings can be purchased at £2+VAT for each category per calendar month.
If you wish to advertise twice in the same category, e.g. once as your personal name and once as your company name, then two subscriptions will be chargeable.
If Freelance UK is required to pay a chargeback claim (which arises as a result of the credit card company not being able to collect funds), Freelance UK will pass this charge on as an additional charge to to the freelancer, a charge of £15+VAT will be made to reinstate their listing. Credit card details may be updated using your profile area and you can use this area to cancel your subscription.
Your profile area will offer the option of hiding your profile for periods where you may not wish to be contacted; hidden profiles are still chargeable at the standard rate.
Freelance Directory is only open to freelancers based in the UK and Ireland.. You warrant that you are at least 18 years of age. In signing up to Freelance Directory, we will from time to time notify you of new deals and offers we have secured for our members or remind you of other relevant offers such as freelancer insurance. Opt-out instructions can be found in your profile area.
We may add, delete or modify some or all of our services and information contained on any part of the Freelance UK website at any time.
Refund Policy: You understand that Freelance Directory subscription service will commence as soon as Contractor UK Limited receives and processes your initial payment. You agree that any statutory right to withdraw from Freelance Directory subscription services will be waived as soon as subscription services commences.
Limitation of Liability
By clicking ‘I agree’ to these Terms of Membership you hereby release Contractor UK Ltd from any damages or liability whatsoever relating to your membership of, the services offered by and any information contained on the Freelance UK website (including Freelance Directory), including, without limitation, lost profits, lost business opportunities, lost data, disputes with or any negligent, intentional wrongdoing by other Freelance UK members, or otherwise, even if Contractor UK Ltd has been advised of the possibility of such damages. The exclusion contained in this paragraph shall apply regardless of the failure of any remedy.
Furthermore, you agree to indemnify Contractor UK Ltd in respect of all liabilities incurring as a result of your membership and membership profile and in particular as a result of the publication of any defamatory or discriminatory statements, or where your profile infringes any third party's copyright, IP, patent, trademark, trade secret or other rights of publicity or privacy.
Jurisdiction and Enforceability
These terms and conditions (both express and implied) shall be governed and enforced under English law and the parties hereby submit to the exclusive jurisdiction of the English courts.
The invalidity or unenforceability for any reason of any part of these terms shall not prejudice or affect the validity or enforceability of the remainder.
Other Parties
Freelance UK are not party to any contract actually entered into between clients, agencies and other third parties using Freelance Directory to hire freelancers.
Whilst we promote and encourage honesty and fair dealings amongst our members, Freelance UK cannot vouch for Freelance Directory members or be held liable for the accuracy, quality, legality of the services advertised, or business conduct of freelancers registered on its website.
We ask that you treat all members of Freelance Directory with respect and courtesy, making every endeavour to ensure that you conduct business affairs in a professional manner, trading legally, fairly and honestly with Freelance Directory members.
